Digital Agreement · v1.0
DFI Holdings · GTA X — Gold Trading Association · Version 1.0, October 2026
This Membership Agreement is entered into between DFI Holdings, acting through its GTA X programme ("GTA X"), and the person accepting it digitally (the "Member"). Acceptance is recorded with the Member's typed signature, timestamp, IP address and device information, and has the same effect as a handwritten signature.
The Member allocates USDT to the GTA X Consolidated Treasury. All member allocations are deployed together as a single discretionary mandate trading XAU/USD, executed A-book through a regulated third-party broker. Each Member holds a pro-rata entitlement recorded in the GTA X member ledger.
Distributions are calculated only from realised net trading profit, after all strategy, execution, brokerage and introducer costs. The Member's portion is determined by the profit-share ratio of the Member's tier. No distribution is payable in any period without realised net profit, and losses are borne pro-rata.
Standard membership carries no licence fee. VIP I, VIP II and VIP III require the stated minimum allocation and an annual membership licence payable in advance. Licence fees are non-refundable once the membership year begins.
Members may request redemption of available balance on the schedule of their tier. Redemptions are paid in USDT to the wallet address registered by the Member. GTA X may delay a redemption for verification, open-position settlement or extraordinary market conditions, and will inform the Member of the reason.
Where a Member introduces new members, introducer rewards are paid only from GTA X's share of realised profit and never from the capital of any member.
GTA X publishes the treasury address so balances can be verified on-chain and issues periodic statements according to tier.
The Member confirms that they are at least 18 years old, act on their own account, use lawfully obtained funds, are not resident in a jurisdiction where participation is prohibited, and understand they may lose their entire allocation.
Before settlement details are released, the Member must complete identity verification (passport and selfie) through GTA X's verification provider. GTA X may request source-of-funds documents at any time and may decline or return any allocation.
Either party may terminate membership by written notice. On termination the Member's available balance, less any open-position adjustments, is returned in USDT.
This Agreement is governed by the laws applicable in the Abu Dhabi Global Market. Disputes shall be referred to the ADGM Courts.
